Peta Jane LLC Retail & Wholesale Terms and Conditions

These Retail & Wholesale Terms and Conditions ("Terms") apply between Peta Jane LLC, a Delaware Limited Liability Company ("Peta Jane," "we," "us," or "our"), located at 20 W 20th Street, New York, NY 10011, and the Retailer ("you" or "Retailer") who wishes to sell our products ("Products"). By clicking "I agree" on our Retail Agreement form or placing an order, Retailer agrees to these Terms.

1. Retailer Eligibility & Account Approval To sell Peta Jane Products, you must operate a legitimate physical or online retail store and maintain a valid reseller's permit or equivalent documentation. Peta Jane reserves the right to request proof of eligibility at any time.

2. Authorized Sales Channels You are authorized exclusively to sell Products:

• In your own physical retail store;

• On your own official website.

Retailer explicitly agrees not to sell or list Products on third-party marketplaces or platforms, including but not limited to Amazon, eBay, Etsy, Walmart, Poshmark, TikTok Shop, Instagram Shop, Facebook Marketplace, or similar third-party e-commerce platforms.

3. Advertising and Marketing Restrictions Retailer may:

• Promote Products within their physical retail store;

• Conduct email marketing to Retailer's existing customer database about Products, provided no discounts, special offers, or promotional pricing is advertised or implied.

Retailer shall not:

• Use the Peta Jane name, branding, or Products in any paid advertising, digital marketing, paid search (Google Ads, Meta Ads, etc.), or promotional activities aimed at customer acquisition;

• Compete directly or indirectly with Peta Jane in any advertising or digital marketing activities.

Retailer may display Product images and descriptions solely on their own website for direct resale without promotional language.

4. Pricing Policy & Discounts Retailer must sell Products at or above the minimum retail price listed on the official Peta Jane website. Retailer agrees not to:

• Sell Products below the listed retail price;

• Offer any discounts, promotional pricing, or bundled offers involving Peta Jane Products;

• Publicly advertise or communicate any price reductions or promotions for Peta Jane Products.

Violation of pricing policies may result in immediate termination of your Retailer status.

5. Orders and Fulfillment Retailer agrees to submit orders directly through official channels provided by Peta Jane. Retailer may not circumvent ordering processes or obtain Products through unauthorized sources.

6. Returns and Damages Retailer must inspect Products upon delivery. Any damages or discrepancies must be reported within seven (7) business days of receipt. Peta Jane will evaluate claims and determine eligibility for replacement or credit.

7. Shipping & Delivery Shipping charges will be specified on each invoice. Retailer is responsible for all shipping costs, taxes, duties, and associated fees.

8. Intellectual Property & Licensing Peta Jane grants Retailer a limited, non-exclusive, revocable license to use provided Product images and descriptions solely for displaying Products on Retailer's official website. Retailer acquires no ownership rights or additional intellectual property rights. Retailer must immediately cease use upon termination of this agreement or at Peta Jane's request.

9. Compliance & Indemnification Retailer agrees to comply with all applicable laws, regulations, and standards relating to the resale of Products. Retailer shall indemnify and hold harmless Peta Jane, its affiliates, employees, directors, officers, and agents from any claims, liabilities, damages, costs, or expenses arising out of Retailer's breach of these Terms.

10. Termination Peta Jane reserves the right to terminate this agreement immediately if Retailer violates any terms. Upon termination, Retailer must cease all sales, remove Products from any online platform, and return or destroy marketing materials provided by Peta Jane.

11. Governing Law & Jurisdiction These Terms are governed by the laws of the State of New York. Any disputes shall be resolved exclusively in the courts of New York County, NY.

12. Modification of Terms Peta Jane may modify these Terms at any time. Retailer agrees to periodically review these Terms, as continued sales of Products constitute acceptance of any changes.

By agreeing to these Terms, Retailer acknowledges full understanding and acceptance of all obligations, restrictions, and guidelines outlined herein.
